Paralegal - Corporate/Estate Planning Responsibilities : The candidate will be responsible for the forming, maintaining, dissolving and merging domestic and foreign legal entities. Duties include theory and procedures, legal and administrative, employed in the preparation and handling of wills, trusts and estates. Responsible for preparing annual minutes and shareholder and board resolutions. Responsible for reviewing corporate documents and making recommendations to attorneys for cleaning up corporate records. Prepare amendments to corporate documents as needed. Maintain corporate records. Maintain tickler system for annual minutes and trademark renewals. Assume additional responsibilities as assigned. Prepare correspondence to clients for attorneys signature. Order corporate Minute Books. Conduct online research using state and federal websites to, among other things, obtain Taxpayer IDs and conduct background and asset searches. Review and analyze tax returns. Complete Forms 25102 (f) and 2553’s. Prepare stock transfer ledgers & Stock Certificates. Prepare escrow agreements for shares and stock certificates. General theory and procedures, legal and administrative, employed in the drafting and handling of estate planning documents. Draft petitions for probate, conservatorship and guardianship, together with accompanying documentation. Draft petitions for specific purposes, other than petitions for probate. Draft petitions for preliminary and final distribution. Draft court accountings. Locate and interview witnesses. Maintain control of probate files throughout proceedings. Maintain client trust accounts. Arrange for escrows. Regular contact with clients, beneficiaries, probate courts, probate referees, attorneys, banking officials, stock brokers, accountants, appraisers, realtors, escrow officers, and insurance representatives

Qualification and Experience

Requirements: The candidate should have 7+ years of experience in assisting attorneys in corporate and business transaction matters and Estate Planning, Probate, and Trust Administration. Knowledge of petitions for probate, conservatorship and guardianship, and supporting documents. Working knowledge of the California Probate Code, California Rules of Court, State and Federal death taxes. Should have the ability to perform a wide variety of tasks requiring extensive knowledge of the Corporations Code, Business & Professions Code and applicable local, state and federal governmental codes, rules and regulations. Knowledge of the basic concepts of drafting wills, trusts, codicils, trust amendments, directives to physicians, powers of attorney, beneficiary designations, and community property agreements, especially using Wealth Counsel EP software. Knowledge in the funding of trusts, including deeds, insurance, assignments and bills of sale. Good skills in organization, communication, writing and math, with attention to detail. Ability to manage caseload with minimal supervision. Knowledge of trust and probate laws, as well as local court rules and regulations.
