Corporate Paralegal The candidate will provide essential support and administrative services to assist General Counsel and Senior Vice President, Chief Compliance Officer in carrying out the management and operations of firm business. Will manage the duties that include General Corporate Housekeeping matters including entity formation; entity dissolution; entity foreign qualifications and DBAs; document management; and assisting with preparing materials for the Board of Directors.Engage in high-level decision making and prioritizing as to the importance of various issues or projects demanding General Counsel and Senior Vice President, Chief Compliance Officer attention. Once the General Counsel and Senior Vice President, Chief Compliance Officer have committed to accomplishing certain projects, the Corporate Paralegal may be tasked with performing the necessary sub-tasks that together result in the accomplishment of that project. Exercise the same discretion and good judgment that General Counsel and Senior Vice President, Chief Compliance Officer would exercise if he or she were performing the tasks personally. Maintain confidence and be able to identify and protect sensitive information that should not be disseminated due to access to sensitive and confidential business information. Identify issues of significance to the role of General Counsel and Senior Vice President, Chief Compliance Officer whom the Corporate Paralegal supports, and must be able to communicate such issues effectively to General Counsel and Senior Vice President, Chief Compliance Officer. Coordinate multiple concurrent tasks and ensure timely completion. Adhere to and uphold all applicable federal and state compliance regulations as well as firm Code of Conduct and Ethical Responsibility, compliance policies and procedures, and applicable healthcare fraud, waste and abuse laws. Bachelor’s Degree and at least two years of in-house experience supporting a legal team is needed. Knowledge of corporate transactions, such as filing Certificates of Incorporation. Ability to facilitate completion of commercial contracts (by, for example, filling in basic information to contract form, proofreading and collecting business information for schedules/appendices) is needed. Educational background in business, chemical or biological sciences is helpful. Paralegal certificate is preferred. Ability to update contract forms and draft simple form documents is advantageous. Ability to uphold HIPAA compliance is mandatory. Must have a working knowledge of computers and Microsoft Office products to include: Microsoft Windows OS, Outlook, Word, Excel, and Visio.
