ProfileSenior Paralegal The candidate will assist attorneys on the Corporate Transactions team with securities, finance, corporate governance, and other corporate law matters. Will be handling a high volume of sophisticated financing transactions, including the public and private issuance of debt securities, term loans and credit facilities. Assist the review and coordination of regulatory filings in U.S., Europe, Japan and Taiwan, including quarterly and annual filings and investor presentations. Manage documentary due diligence relating to capital markets transactions. Support the closing process for financial transactions, e.g., prepare offer certificates, review closing documents, draft memos to signatories, etc. Assist with corporate governance, including maintenance of domestic and international subsidiary board minute books, delegations of authority including officer and director lists. Prepare responses to corporate governance data requests, due diligence requests and audit-related informational requests. Must have Four-Year college degree (BA or BS). Should have documented years of relevant work experience with a corporate legal department or law firm dealing with securities/capital markets and corporate governance matters. Strong computer skills in Word, PowerPoint, Excel, and black-lining tools is required. Familiarity with electronic document management and e-billing programs helpful.
