Corporate Paralegal The candidate will be responsible for providing support to the attorneys in the Legal Department primarily with respect to company funds and client accounts, as well as a variety of general corporate matters. Assist attorneys with various matters, including fund documents, client contracts, vendor contracts, regulatory filings and corporate resolutions. Prepare formation and governing documentation for new entities as needed. Working with outside counsel, coordinate distribution of legal documents to prospective investors and closings for company funds. Communicate with fund investors, outside counsel and company product managers regarding status and timing of closings. Post-closing organization and management of transaction documents. Review and summary of client contracts and communication of terms to various departments; assist with entry of terms into database. Serve as the Legal Department’s point of contact to provide transaction and other legal documents to other departments in the company. Assist business personnel and relationship management professionals with research and data gathering assignments in support of client and prospect presentations. Maintain corporate records of the company and subsidiaries and prepare formation and governing documentation for new entities as needed. Prepare and maintain legal binders and electronic files of legal documents. Prepare filings and maintain registrations of the companies in foreign countries. Paralegal training (certificate) and 5+ years work experience in a legal environment, preferably a corporate department of a reputable law firm required. BA/BS and/or private equity experience a plus. Ability to review and draft legal documentation and to identify certain issues independently required. Excellent verbal and written communication skills required. Proficiency in MS office applications (Word, Excel, Powerpoint) required. Ability: to interface effectively with clients, peers and counterparties; to manage simultaneously many assignments and quickly shift focus from one project to another as circumstances dictate; to work effectively and independently in a demanding, fast-paced environment required.
