Senior Manager, Contract Negotiations Duties: Responsible for supporting the client and vendor contract needs of the organization, with both internal and external customers, specifically identifying areas of contract risk and developing appropriate risk mitigation terms. Manage the construction of complex, multiple business-unit contracts for new business, as well as contract renewal amendments, for clients and vendors across the enterprise. Manages a Contract Negotiations team and has significant impact on the success of the organization for the retention of existing clients, acquisition of new clients, and overall success in meeting the organizations contract needs, as they relate to client and vendor relationships. Manage complex client and vendor agreements, with emphasis on risk factors. Managing Contract Negotiations team. Act as a liaison with internal business owners, external customers, and vendors in the development and review of client and vendor agreements, amendments and other general documents (i.e. statements of work, terms and conditions, etc.). Collaborate with, and make recommendations to, Corporate Counsel on the development of standards for contracts, including general language and provisions based on strategy discussions, senior management input, and organizational needs and expectations, while ensuring they meet acceptable organizational risk limits. Collaborate with, and make recommendations to, Senior Manager of Procurement and Contracts, on contracting process to drive standardization, compliance and alignment with business and growth strategies, including cataloging and database management. Manage and maintain client and vendor playbooks. Negotiate and execute new client and vendor contracts and renew existing contracts based on predetermined criteria (i.e. client and vendor playbook). Deliver strong risk management on contracts. Understand and communicate to stakeholders across the enterprise on the impact of contract terms and requirements. Assure accuracy and appropriateness of contract text and attachments. Manage and track contract terms and conditions, as well as SLA’s, as to ensure alignment between client and vendor contracts, and subsequently make recommendations for continuous improvement. Maintain deadlines on deliverables and communicate on an ongoing basis with all appropriate parties about contractual issues. Manage day-to-day responsibilities of Contract Negotiations team. Qualification and Experience

Qualifications: Bachelor’s degree from four year college in business or related field with 10 years of experience in legal, sales and/or contract negotiation. Corporate paralegal or risk/legal background with management experience is required. A Law Degree is desired. Experience in the EFT industry, with ATM or POS knowledge and Credit Union industry experience/knowledge is preferred. Must have a thorough understanding of a variety of the field’s concepts, practices, and procedures along with thorough understanding of general insurance provisions and associated risks. Must be proficient PC knowledge and the use of standard software packages, such as Microsoft Word, Excel, and PowerPoint. Excellent verbal and written communication skills, as well as presentation skills. Must have effective interpersonal skills, and ability to convey complex information in a way that others can readily follow along with excellent planning and organizational skills, as well as ability to prioritize workload using good judgment, while balancing the need for an immediate response with accuracy and completeness of information. Ability to build strong relationships with stakeholders at all levels, internally and externally and someone who is detail-oriented with strong problem solving skills and the ability to identify, analyze, and resolve problems, driving solutions to completion. Must have the ability to work under minimal supervision and manage multiple tasks/projects simultaneously, while meeting demanding deadlines. Must have the ability to lead cross-departmental project teams and develop a talented and highly motivated team and have strong leadership, management, people skills, strong influencing and negotiation skills.
