Paralegal - Pooled Investment Entities Duties: Provides assistance to lawyers by drafting, proofreading and distributing documents. Supports attorneys in representation of investment funds (including hedge funds, private equity funds, real estate funds, debt funds, mutual funds, real estate investment trusts and exchange-traded funds. Assists with the preparation of responses to audit request letters from investment funds and advisors. Drafts and submits formation documents and other corporate filings for investment funds, investment managers and other related entities with Delaware and New York. Assists in the closing of private placements and public offerings of debt and equity securities, including assisting with obtaining good standing certificates, preparing closing opinions, coordinating with couriers and other third party service providers. Assembles closing documents and prepares closing binders. Assists in knowledge management program, including maintaining electronic files for precedent documents. Reviews and files SEC documents, including monthly, quarterly and annual filings. Performs other miscellaneous projects and tasks as requested by attorneys and Paralegal/Project Assistant Manager. Performs other work-related duties, as may be assigned.
Qualification and Experience
Qualifications: Bachelor’s degree from an accredited college or university with strong academic credentials. 5+ years' experience working at a large law firm. Strong organizational skills. Strong attention to detail. Good judgment. Strong interpersonal communication skills. Strong analytical and problem solving skills. Able to work harmoniously and effectively with others as part of a team. Able to preserve confidentiality and exercise discretion. Able to work under pressure. Able to manage multiple projects with competing deadlines and priorities. A self-starter who desires to show ownership and commitment to the job. Proofreads accurately.
