Paralegal The candidate will assist management with supporting legal areas, including: corporate governance and compliance, contracts, securities compliance, acquisitions, and employee relations. Researches law, investigates facts, and prepares documents to assist the President, Chief Executive Officer, Board of Directors, and others by performing a variety of support and administration duties, including contract review, research and investigations, management of stock option program, and others projects as required. Responsibilities: Assists management on general contracts, third-party agreements and vendor/supplier relationships by drafting or editing documents; Assists management with employment law concerns, contracts, claims, and creating company policies; Ensures compliance with trademarks, patents, intellectual property, and trade secrets; Creates business legal reports and correspondence, statistical reports, and effectively presents information to senior management; Researches and analyzes law sources such as statutes, legal articles, legal codes, as necessary; Confers with external counsel as required. Coordinates all communication between Company and external counsel when engaged; Assists with internal investigations and insurance claims as needed; Oversees stockholder relations, maintain records related to stockholder correspondence, stock issues, transfers or proxy statements; Manages and maintains Company’s stock option plan, including preparing and storing agreements, tracking vesting schedules, and related activities; Acts as Secretary to the Board of Directors, manages all aspects of Board of Director and committee meetings, including development of agendas and arrangement of meeting logistics; Plans and coordinates annual shareholder meeting and strategic planning sessions. Prepares and disseminates materials and information for directors and senior leadership; Performs clerical duties such as scheduling appointments and meetings, organizing calendars, arranging conference calls, providing information to callers, taking notes, composing and preparing correspondence, handling information requests, and greeting receiving visitors; Files correspondence and legal documents in office filing system. Manages corporate library. Ensures proper indexing and filing of original legal documents.

Qualification and Experience

The candidate must possess Bachelor’s degree having 5-10 years of experience as a paralegal, assistant corporate secretary or executive assistant within a corporate legal function; or equivalent combination of education and experience. Have Paralegal certification. Valid drivers’ license.
