ProfileParalegal Duties : The candidate should provide support to company's attorneys in a variety of legal, corporate, contract matters. Coordinate all aspects of contract management, including routing for signature, distribution and maintenance of contracts database. Assist with management of stock option plan, including inputting stock option data and distributing grants. Maintain corporate minute books and related records, as well as prepare meeting minutes from the Board and its committees. Assist with the management of the company's subsidiaries. Manage corporate and tax filings with state, local and other governmental agencies. Support strategic transactions, including due diligence, document preparation, closing mechanics and post-closing integration and administration. Manage highly confidential information with professionalism and unquestionable integrity. Coordinate calendar, travel and other administrative duties for the legal department.
Qualification and Experience
Requirements :The candidate shall have a Bachelor’s degree and paralegal certification from an ABA approved program; notary certification a plu The candidate shall have 2-3 years paralegal experience preferably as a corporate paralegal. Stock administration experience, preferably from in-house legal experience. Strong organizational and communication skills, with the ability to set priorities, handle multiple tasks and projects, and track and follow up on projects. A collaborative team player and have partnered with internal and external contacts at all levels. The ability to work independently, shift focus, adapt to changing priorities, maintain patience in high pressure situations and take initiative where appropriate.
