Paralegal (Corporate) Responsibilities: Responsible for handling a range of professional services and involves ongoing interaction and communication with partners, associates and colleagues throughout the Firm. Prepare and file formation, qualification, merger, dissolution, and related filings. Assist colleagues with filing and registered agent service provider communications. Complete and file forms SS-4 to obtain EINs. Assist with all aspects of deal closings (i.e. prepare signature pages, prepare closing certificates, drafting local state and federal docs, closing binder preparation, etc.). Compile and maintain minute books, including preparation of annual consents and filings. Prepare stock certificates and resolutions. Order/summarize lien and judgment searches and prepare and file UCC statements and amendments. Work collaboratively and efficiently in a fast-paced, team oriented environment on sophisticated client matters. Other duties as may be assigned to fully meet the requirements of the position.
Qualification and Experience
Qualifications: BA and paralegal certificate. 7 - 9 years of experience corporate/transaction experience providing exceptionally high quality service to clients. Law firm experience preferred, but not necessary. Extensive Mergers & Acquisitions deal experience. Knowledge of UCC filings. Knowledge of SEC/Edgar filings a plus. Ability to work with outside service providers. Some real estate knowledge a plus. Knowledge of Westlaw and Lexis program a plus. Professional demeanor, excellent communication skills, writing skills and interpersonal skills. Strong attention to detail, excellent organizational skills and ability to work independently and handle multiple assignments simultaneously and efficiently. Proficiency in MS Word, Outlook, Explorer, PowerPoint, and Excel.
