ProfileCorporate and Transactional Paralegal The candidate's responsibilities: rovide assistance to the attorneys in the drafting, review, negotiation and execution of contracts, including pooling and servicing agreements, subservicing agreements and related documents, interim servicing agreements, non-disclosure agreements and vendor service contracts. Prepare first drafts of corporate governance documents, correspondence, compliance certifications, and other documents as directed by the attorneys. Organize and file contracts and all other documents handled by the Legal Department. Review and summarize relevant contractual provisions in mortgage servicing agreements, vendor agreements and other contracts. Correspond with internal departments and outside counsel on transactional and other matters. Assist in the preparation and maintenance of a database to monitor active servicing agreements, selected contractual provisions, and compliance requirements. Assist in preparation of materials for the Board of Directors. Assist in the preparation and maintenance of corporate minute books and entity formation. Assist in updating and maintaining template agreements. Other duties as assigned by the General Counsel.
Qualification and Experience
The candidate should have BA/BS degree from a four-year institution preferred. Should have 2 - 4 years law firm and/or in-house experience in a transactional practice working with commercial contracts and general corporate matters, preferably in the mortgage industry and preferably with a mortgage servicer. Experience in reviewing and analyzing contracts and in drafting corporate governance documents. Experience or a demonstrated ability to negotiate directly with legal and other representatives of mortgage servicing sellers and purchasers and with prior and successor servicers on behalf of the mortgage servicing businesses within the company. Excellent interpersonal and communications skills. Excellent analytical, legal research, drafting, writing and organizational skills. Excellent oral and written communications skills. Demonstrated competencies in using MS Word, Outlook, Excel, PowerPoint and other related software programs. ABA-approved paralegal certification preferred or equivalent experience.
