Corporate Paralegal The candidate will provide support for the corporate legal department in the following areas: contract drafting and review, contract database management, file maintenance, real estate leases, insurance, licenses and registrations, corporate compliance and governance matters, research and special projects. This position will also provide research and transactional support related to the company’s mergers and acquisitions activity. Responsibilities include: Administer routine contract requirements, maintain schedules, prepare and file required filings, assist in preparation of corporate filings, registrations, licensing and professional qualifications; Assist in administration of Board meeting process, coordinate agendas, maintain database of minutes, resolutions, and prepare consents, delegations, and resolutions for board action; Research and resolve routine legal issues under the guidance of supervising attorney; Prepare routine documents, agreements and instruments, such as confidentiality agreements, consulting agreements, sub consultant agreements, purchase and sale contracts, and insurance certificates; Maintain contract database and lease portfolio; Handle internal and external requests for information, discovery, or documents; research of legal matters and company information; review documents and transmit information and documents to outside counsel and company personnel with minimal guidance from supervising attorney; Prepare and maintain corporate records for subsidiaries, minute books, prepare and file state and local filings (qualifications) for the company and its subsidiaries; Coordinate with counsel, corporate management and other internal personnel to obtain information and documentation; Furnish assistance in business transactions, including due diligence, review and preparation of schedules; Coordinate with outside counsel and insurance advisors to furnish litigation support including file set-up and maintenance, document and fact gathering, review and preparation of discovery materials and Manage and provide support for special projects as necessary under supervising attorney.
Qualification and Experience
The candidate should have Paralegal Degree or Certification, preferably Bachelor Degree having 5 years corporate legal experience. Should be able to manage a heavy workload and prioritize multiple projects; work independently while functioning well in a team environment; communicate effectively with members of other departments in order to support their functions as well as to assist them in supporting the legal functions and understand general business operations, issues and dynamics beyond the scope of basic legal issues.
