ProfileCorporate Paralegal The candidate will prepare legal correspondence. Will assist General Counsel and legal team with various SEC-related and corporate governance matters. Assist the General Counsel in planning, budgeting and monitoring the department budget. Prepare responses to governmental and other public agencies regarding general corporate information on the Company. Assist with corporate housekeeping matters (including entity formation, entity dissolution, entity foreign qualifications and DBAs, obtaining EINS, etc.); document management; service of process management; and the preparation of materials for meetings of the Board of Directors and its Committees. Prepare and file annual corporate renewals and other corporate-related filings for the Company and all of its subsidiaries. Assist with the drafting of Board resolutions, minutes and other corporate governance documents. Assist in developing databases, presentations, spreadsheets, reminder tools, and other online applications related to the work of the legal department. Track and gather litigation information for reporting purposes. Maintain and track term and expiration of Company confidentiality agreements. Issue and maintain litigation holds and assist with the gathering of information in response to discovery requests and similar inquiries. Process legal department invoices for payment. Set up and manage vendor files for legal department and track expenses. Track and maintain attorney licensing and dues and manage Continuing Legal Education for attorneys and handle all registrations and renewals with state bars and other organizations. Maintain legal department calendar. Prepare/arrange travel and associated expense reports for legal department. Maintain and coordinate schedules, Outlook calendar and contacts, conference calls, etc. Exercise independent judgment to screen calls, demands and/or requests for General Counsel's time, attention, etc. Assist with other projects and assignments as directed.
Qualification and Experience
The candidate should have 5+ years of paralegal experience. Bachelor's or Associate's degree or paralegal certification is essential. Notary Public credentials are a plus. Familiarity with SEC terminology and procedures is essential. Proficiency in all Microsoft Office components (Excel, Word, PowerPoint, SharePoint) and other office administrative functions is essential. Must have excellent telephone/communication/professional skills
