Paralegal The candidate will act as a generalist in the legal department and be responsible for performing many legal support activities, such as drafting and editing contracts; maintaining contract management systems; tracking and paying legal fees; assisting with SEC filings, Board meetings, and maintenance of other corporate documents; and building relationships inside and outside the organization. Assist in preparing, negotiating, and revising various agreements and contracts to support the needs of the business, including consulting agreements, service agreements, clinical trial agreements, and NDAs. Act as a liaison between the legal department and internal colleagues and external contacts. Review contracts and agreements to ensure adherence to company policy and government requirements. Participate in calls to explain contracts and to negotiate terms. Manage contracting process, from incoming requests through signature and maintenance. Attend meetings with General Counsel. Assist with SEC reporting. Assist with corporate record and Board minute book maintenance. Coordinate timely completion of priority projects. 3-5 years of paralegal or contract management experience, preferably in pharmaceutical or biotechnology environment required. Paralegal certificate preferred. Ability to summarize contract terms required. Experience: with general commercial agreements (some experience with clinical trial and site agreements; with or knowledge of general corporate, corporate governance, corporate finance, securities, real estate, and/or intellectual property matters, including patents and trademarks strongly preferred. Exceptional MS Office skills (including Word, Excel, PowerPoint, and Outlook) required.
