Commercial Paralegal The candidate's primary responsibility: Assist and provide a range of legal support and administration to Legal Counsel and business executives in daily activities and projects. Essential Functions: Assist Legal Counsel in resolving matters primarily focused on Contract, Litigation, Regulatory, Intellectual Property, Bankruptcy and Real Estate Matters. Provide support to all aspects of the Business Development (Sales) function including the drafting and administration of customer agreements and ancillary documents including Bailee Waiver Agreements, Warehouseman Lien Enforcements, Mutual/Non-Disclosure Agreements and various other contract types as needed. Preparation, review and organize basic documents including Vendor Agreements, Service Contracts, Leases, Subleases, Licenses and other real estate documents. Review and analyze other business documents as needed. Assist other legal Department staff with the following: Preparing and filing annual corporate filings as needed with state and federal regulators. Preparing and maintaining corporate secretary books for company, parent, and affiliates. Draft, negotiate and facilitate the related processes and procedures to obtain signatures and track documents in process. Assist with follow up matters on executed contracts. Draft and maintain quarterly legal log. Perform Legal research and public searches (i.e., UCC). Interact with outside counsel, internal clients and customers. Perform research and data collection. Provide research and discovery in preparation of dispute resolution. Assist with the management of the Company’s Document Retention and Destruction Policy. Administrative responsibilities include managing the Company’s contract database information system together with the related physical files, including the update and maintenance of central on original filing, copying and faxing documents as requested. Administer the Legal Department Matter Management System which tracks data, status and matter specific information as well as facilitates review and processing of invoices from outside counsel and audits for compliance with Company billing guidelines. Facilitate appropriate coding and payment processing of outside legal expenses and perform related data entry. Other duties upon request.
Qualification and Experience
The candidate should have 5+ years of work experience in a Paralegal role. Prior in-house experience preferred. Paralegal certification preferred. Strong computer skills including knowledge of Microsoft applications and contract databases including specifically Excel, Access. Experience with CounselLink or other matter management software system preferred. Must demonstrate in depth knowledge of compliance obligations affecting business. Must possess excellent writing, organizational, negotiation, problem-solving and interpersonal skills.
