Legal Analyst and Contract Administrator The candidate will provide support to clients in various business areas by assisting attorneys in preparing, reviewing, and revising sales agreements, amendments, commercial non-disclosure agreements and other ancillary legal and business documents. Will also provide contract management and business support to the attorneys and clients, including contract administration and assistance in gathering, analyzing and documenting internal approvals. Assist in drafting / preparing contracts and amendments. Coordinate with internal clients, product management, and project leads to ensure contracts are consistent with commercial objectives, pricing, delivery methods, etc. Assist in interpreting and analyzing contract terms and conditions. Draft relevant contract clauses for legal review by attorneys that comport with internal standards. Revise negotiated (redlined) agreements based on internal stakeholder comments. Support / conduct negotiations of contracts with customers. Manage contract drafts and distribution of finalized documents for execution. Support preparation of RFQ responses with short turnaround times and deadlines. Work daily with attorneys to obtain updates on open matters. Contribute to the development of contract process training material to be provided to the business areas. Facilitate face to face and/or web based training to the sales organization, as necessary. Support M&A activities as requested by attorneys (Hart-Scott Rodino filings, due diligence review, manage preparation of contract schedules). Review and respond to third party subpoenas. Manage additional projects as assigned. Support clients in the following business areas: North American Merchant Gases; Liquid Bulk Non-Cryo Onsites; APEX Services/Oil Fields Gas Sales; North American Commercial Technology; North American Gases Marketing; Distribution and Logistics and Purchasing - CPS Equipment and Services; Hydrogen Energy Solutions.

Qualification and Experience

The candidate must have 4+ years of recent and relevant legal / business experience. Must have experience in generating, revising, interpreting commercial contracts and RFQs. Bachelor’s degree preferred; or associate’s degree and paralegal certificate. Extensive knowledge of contracting terms is required. Contract administration and relevant business experience is required. Excellent verbal and written communication skills and attention to detail is required. PC literacy, including strong working knowledge of desktop applications and demonstrated proficiency with MS Office Suite (Word, Excel, PowerPoint, Outlook) is required. Westlaw/Lexis/Pacer legal research proficiency preferred. Knowledge of legal terms is required.
