Senior Manager, Financial Analysis for Client Support Duties: Works directly with attorneys, clients and accounting/investment/banking professionals to analyze complex corporate transactions (including equity and debt financings, leveraged buy-outs, reorganizations, down rounds, alternative financings and mergers and acquisitions) and provide advice regarding the financial impact of those transactions on our client companies and their shareholders. Plays a key role in the deal execution process and supports the business strategy of clients during the course of deals and on an ongoing basis, helping to strengthen client relationships. Contribute to administrative projects as needed in support of the firm’s Knowledge Management, Marketing and Business Development initiatives. Responsible for developing a complete understanding of the flow of funds within each transaction, and effectively communicating about that with attorneys, clients and other stakeholders. Create detailed financial models reflecting the impact various transactions will have on the corporate financial structure and shareholders using information provided by clients and deal teams and gathered independently from corporate documents and financial records. Create detailed return analyses to evaluate proposed financing strategies. Analyze proposed investment structures and related financial metrics, and use this analysis to advise attorneys, clients and other stakeholders regarding optimal financing structures and strategy. Prepare waterfall analysis and communicate regarding that analysis to help evaluate potential investments. Prepare sources and uses analysis and create and manage flow of funds schedules. Prepare capitalization tables (both fully diluted and pro forma) based on term sheets and corporate documents. Design and produce additional financial analysis as requested by deal teams. Evaluate the tax implications of various deal structures and be able to communicate effectively regarding how those impact the financial analysis and strategy. Leverage a strong understanding of stock options, warrants, employee incentive compensation plans and earn-outs to advise on compensation matters. Participate in meetings and on conference calls with attorneys, clients and other stakeholders, and provide advice in those meetings with respect to the financial aspects of client transactions. Help develop and maintain client relationships by serving as a resource for advice regarding the ongoing business activities of our clients and strategy. Collaborate with Knowledge Management and Marketing to develop periodic deal survey reporting for external publication. Collaborate with Marketing and Business Development to develop marketing materials that highlight the firm’s transaction advisory services. Participate in client pitches, as appropriate. Attend various conferences and events to assist with business development efforts.
Qualification and Experience
Requirements: Bachelor’s degree in Accounting, Economics, Finance or other business discipline, with a demonstrated high level of academic achievement is required. MBA from top-tier business school preferred. 5+ years of professional experience in investment/private equity/venture capital, investment bank and/or public accounting preferred. Strong knowledge of corporate accounting concepts and governing principles. Advanced financial modeling skills and expert Microsoft Excel, Word, and PowerPoint skills. Strong knowledge of various types of corporate entities and related corporate documents and a working knowledge of corporate tax laws. Have the ability to manage multiple stakeholders/tasks/responsibilities simultaneously and to meet deadlines. Exercise excellent judgment and maintain the highest level of confidentiality. Thrive in an entrepreneurial and fast-paced work environment and be self-motivated. Have flexibility to travel and work extended and often unpredictable hours.
