Contract Real Estate / Corporate Legal Secretary The candidate will perform title searches, order title reports, and follow up on recording documents. Will identify and differentiate between corporate documents, closing documents, original executed documents, documents of recording, recorded documents, title documents, etc. Prepare for and assist with closings, including organization of closing room or other area where documents are kept and preparation and management of signature pages. Create a closing binder with little supervision. Effectively manage large, complex matters, including maintaining and working with communication lists, distribution lists and mailing labels. Work effectively with title companies and vendors. Demonstrate familiarity with UCC finance filings. Understands the process of recording documents. Communicates effectively with the Office of Secretary of State on filings and inquiries. Create and update commercial leases using advanced features in MS word (e.g., Table of Contents and Table of Authorities). Download and filing of NYS real estate forms from internet sites (e.g. NYC.Gov., Blumberg, etc.). Prepares and assists with closings, including organization of closing room or other area where documents are kept and preparation and management of signature pages. Create a closing binder with little supervision. Effectively manages multiple (large and small complex matters, including maintaining and working with communication and distribution lists, service lists and mailing labels. Effectively uses department-specific protocols for storing and managing documents and for tracking the status of matters. Proactively follows up on matters as necessary. Understands basic Financial Transaction matters, such a debt restructuring, equipment leasing, asset-based credit facilities, commercial finance transactions, renewable energy projects, cross-border transactions, secured and unsecured lending transactions, etc. Understands corporate matters such as IPOs, joint ventures, private equity funding and Mergers and Acquisitions, including the due diligence process and Blue Sky work. Creates and edits stock certificates. Maintains corporate minute books. Knowledge of SEC databases and filing materials. Should have 5+ years of legal secretary experience in a large to mid-size law firm. Must have strong intermediate to advanced MS 2010 Suite, Word, Excel, Power Point, Outlook, and current experience with Carpe Diem, Chrome River, Elite and ability to transcribe tapes and use a wave pedal. Edits, proofreads complex documents, black line documents, format documents with cross-references, format tables of contents, mail merge, format tables.
