Contract Administrator The candidate will be responsible for providing legal support services to attorneys, legal department professional staff, and research to other company personnel on an as-needed basis including assisting attorneys in the execution and control of the contracts administration process. Identify, analyze and research legal and contractual issues to provide a thorough body of knowledge for contract preparation including reviewing original and executed contracts, communicating with third-party vendors, drafting demand letters and other correspondence related to contract performance, terminations and pre-litigation issues to ensure compliance with contract policy. Utilize the body of knowledge developed for contract preparation to accurately prepare legal documents and under attorney supervision, assist in the management of contracts including but not limited to negotiating certain legal agreements, confidentiality agreements, and contracts directly with customers and external stakeholders, drafts alternative contract language in order to ensure compliance with HIPAA privacy and securities regulations and federal contracting compliance where required. Maintain computer databases, calendar, and document files, including but not limited to, logging contract requests, tracking contract review and/or approval process, examining performance requirements, milestones, deliverables, and business and legal terms noting potential problem areas for attorney’s review, and serving as a liaison between the attorney and all departments and vendors to ensure accurate and efficient information retrieval as well as timely completion of contract related activities. Perform due diligence on vendors, including verification of corporate status with the Secretary of State and coordinates vendor management with internal business owner by verifying that all RFPs, contracts, schedules, appendices and related materials are present. Provide administrative support to attorneys and delegates tasks and/or provides guidance to others as needed to ensure the most appropriate use of departmental resources. Keep abreast of internal and external legal, technological and regulatory developments related to work responsibilities to provide the company with the best professional assistance. Serve a backup to the Contracts Administrator for support of the Enterprise Wide Contracts Management System to help ensure an adequate resource is available. The ability to comprehend, document, are very important, as is the ability to calculate, compare, contrast, visualize, and analyze required. Bachelor’s degree is required preferably in Business. 4+ years of related work experience can be used in lieu of degree required. 5+ years of legal and/or litigation experience is required as support personnel for an attorney, such as a paralegal or legal secretary. 3+ years experience in contract administration, contracts management, or procurement is required. Experience can run concurrently. Health insurance knowledge or experience in the insurance field is preferred. Knowledge of HIPAA privacy and federal acquisition regulations is preferred. Strong understanding of the legal process with the ability to analyze and interpret legal documentation and how it relates to and affects the company required. Ability to research laws and regulations on Westlaw is preferred. Strong understanding of the contracting process with the ability to analyze and interpret legal documentation and terminology required. Excellent written and oral communication skills, attention to detail, analytical abilities, effective grammatical and human relations skills, and the ability to work independently are required. Must be proficient in the use of Microsoft Access, Word and Excel.
