Paralegal Duties: Reporting to the General Counsel, responsible for conducting legal and factual research, analyzing, summarizing and preparing legal forms, contracts and memoranda, updating and maintaining legal files and correspondence. Supports the General Counsel and staff attorneys within the Legal Department in a variety of legal areas including regulatory compliance matters, contracts, real estate, and commercial litigation. Assist the General Counsel and attorney staff with drafting and review of transactional legal documents (contracts, releases, retention agreements, management agreements, etc.), responses to notices, letters and other correspondence received under various agreements or from third parties; and other documentation under supervision of an attorney. Maintains contract and other agreement templates, tracking agreements through their approval process, and then capturing executed contracts in a document management system. Supports legal team in handling complex transactional matters and ongoing commercial contracts, including reviewing emails, correspondence and other materials to distill relevant information and issues in order to produce appropriate legal contracts Work with other departments to coordinate legal and compliance matters. Ensures that documentation requests from outside counsel, courts, regulatory agencies and others are handled effectively and timely. Prepares and files legal documents with appropriate entities, as required. Conducts intermediate level legal and factual research on assigned matters. Responsible for expanding and maintaining existing corporate electronic databases software. Acts as liaison between company attorneys, outside counsel, organizations and management. Assist with corporate document retention programs and systems.
Qualification and Experience
QUALIFICATIONS: Associate degree or Certificate in paralegal studies; Bachelor's Degree preferred. Paralegal Certificate and Notary Public Certificate required. 7+ years job experience as a corporate paralegal, preferably in an Energy, utility or EPC project environment. Demonstrated success with effectively working directly with attorneys as a corporate paralegal and demonstrated experience in supporting complex transactions as well as ongoing commercial contracts, corporate governance and corporate secretary matters. Experience with intellectual property (patents and trademarks) a plus.
