Paralegal - Corporate Duties: Will support to attorneys in the corporate practice group. General corporate work including handling corporate formation and organizational matters, stock issuances and transfers, board minutes, and other general corporate matters; create and maintain capitalization records; assist with major corporate transactions, including mergers and acquisitions, reorganizations, capital markets transactions, and venture capital investments. Maintain closing files for various types of corporate transactions and compile closing sets and assist with transaction closings; prepare and file section 16 notices, securities exemption notices, and other state and federal securities filings; maintain corporate records and minute books and coordinate with clients regarding same; coordinate document retrieval from government agencies and prepare government filings; order, review, and analyze UCC searches. Met minimum 1,500 hour annual billable requirement; all members of the firm are expected to participate in Global Citizenship program; maintain confidentiality of client information; and perform other duties as assigned.
Qualification and Experience
Qualification Requirements: A BS or BA degree or equivalent experience preferred. Paralegal certificate is desirable. 3+ years of corporate and transactional experience preferred. Familiarity with basic corporate documents, including resolutions and organizational documents, and prepare initial drafts of basic corporate and transactional documents. Strong writing and editing skills. Should be comfortable conducting Internet-based research. Excellent attention to detail and strong organizational and communication skills. Ability to work efficiently in a fast-paced environment with or without direct supervision. Ability to coordinate multiple projects at once, Flexibility for overtime and willingness to travel as required.
