Paralegal Candidate will assist and support the General Counsel and Associate General Counsel: In all stages of corporate transactions; with the maintenance of corporate books, records, board communications, resolutions and minutes; with the preparation of legal documents necessary to fulfill legal needs of the Company; and with the maintenance of an organized and structured legal environment. Assist attorneys with preparation of corporate documents/materials, including contracts and amendments, and with the contract approval process. Assist attorneys with preparation of Board of Directors communications and presentations, including minutes and resolutions, and maintain corporate minute books. Provide attorneys with assistance with the preparation for and closing of various corporate transactions. Work directly with the attorneys and transfer agent to effectuate stock issuances and option grants. Assist in-house attorneys and outside counsel with internal litigation needs/tasks, and maintain internal files regarding cases and claims. Manage scheduling needs for attorneys and other corporate officers. Calendar management.
Qualification and Experience
Candidate with a Bachelor's Degree required and paralegal certificate is preferred. 3-5 years of corporate paralegal experience working in a law firm or corporate environment is needed. Experience handling corporate minute books and board communications is preferred. Experience with litigation management is helpful. Proficiency in MS Word, MS Excel, and PowerPoint is required.
