Corporate Paralegal Responsibilities: Ensures that the company is compliant with all applicable federal and state franchising disclosure laws, and acquiring and maintaining all required registrations. Responsible for monitoring and communicating all issues and/or regulatory changes and assisting in the development, filing and obtaining approval of FDDs. Also responsible for coordination of customer service review as well as initial review. Will be responsible for ensuring the company’s Franchise Disclosure Document (“FDDâ€) used in the sale of franchised business are current and registered for use. Drafts and prepares the FDD annual renewals and any amendments, including data collection and state applications. Continually monitors/consults Federal and state laws to verify company’s FDD is in compliance with applicable statutes and regulations. Advises supervising attorney of any compliance issues. Manage and coordinate all requests for contract review to ensure timely completion, including perform initial customer contract review. Works closely with Sales and Operations to facilitate timely turnaround of contracts. Maintain corporate records and submit corporate filings as necessary for all entities. Drafts Board resolutions/minutes. Maintains and update customer bankruptcy schedules, prepare and file proof of claim forms. Prepares and drafts franchise relations agreements. Provides support as necessary to company’s Regional Support Centers. Performs other projects as assigned by Chief Legal Officer or Senior Attorney.
Qualification and Experience
Qualification Requirements: A Bachelor's degree and/or 2-4 years of experience as a corporate paralegal. Paralegal certification preferred. Ability to comprehend legal documents. Familiarity with Lexis, Westlaw, Internet services and reference materials, and excellent research skills. Excellent communication and interpersonal skills. Excellent drafting and writing skills. Ability to prioritize and complete multiple assignments and coordinate workflow. Thorough working knowledge computer software programs, including MS Word, Excel, Power Point, Outlook and Adobe Acrobat Professional, Workshare, and other database programs. Effective planning, problem solving and analytical skills, ingenuity, judgment and administrative skills in managing practice area. Ability to maintain effective working relationships with team members; demonstrate cooperation and flexibility and willingness to handle a variety of tasks.
