Senior Tax Counsel The candidate will assist with each aspect of tax planning for the company, including negotiation, management and support for the company’s cross border M&A transactions and strategic global tax planning. With respect to M&A transactions, this person will be responsible for working with internal and external resources to provide appropriate tax advice with respect to all areas of taxation, including U.S. federal and international tax, as well as any state and local tax implications. Take a lead role in ensuring transactions are executed through all phases of a deal – including negotiation with third parties, execution, closing and integration. With respect to global tax responsibilities, take on a lead role to ensure that U.S. federal and non-U.S. tax planning strategies are designed and implemented properly. This is a visible position with top levels of tax and non-tax management. Need to manage outside counsel and accounting advisors effectively. Take a lead role in negotiating and executing cross border M&A transactions, including acquisitions, divestitures and collaborations. Coordinate and lead the tax due diligence process for M&A transactions. Work with the company’s internal teams, including Legal, Business Development and Global Tax, with respect to all aspects of M&A transactions, including interfacing with outside advisors and coordinating with internal teams to ensure all considerations (tax and non-tax) are properly reflected in the deal structuring and negotiations. Under the direction of the Vice President International Tax Planning and other leaders in Global Tax, develop tax planning strategies, including post-closing integration of acquired companies into company’s global structure. Assist in the management of tax planning projects for a variety of transactions. Oversee the coordination of project implementation with the tax compliance & tax accounting groups within Global Tax as well as with other groups across the organization (accounting, legal, finance, etc.). Meet and establish relationships with key tax and non-tax colleagues in significant business units and any assigned countries of responsibility. Become an active member of Global Tax Planning team and assist in the managing/mentoring of colleagues and developing strong team atmosphere focused on the highest quality of tax planning. Maintain knowledge of existing and proposed tax laws, rulings, regulations and litigation sufficient to provide advice to management and develop detailed advice on specific transactions and issues; understand the relevant impact, recommend and implement responsive action to manage existing positions and capture new opportunities. Actively participate, manage and oversee all income tax audits in any assigned countries. Take a lead role in coordinating local country tax planning in any assigned countries. Work effectively under real-world circumstances of imperfect information and/or short timelines. A JD degree is required; an LLM or CPA preferred. 10+ years of relevant experience with a major, publicly held corporation, law firm or big 4 public accounting firm, including a minimum of 4 years with a major law firm required. Demonstrable skills in negotiating M&A transactions required. Strong: background and knowledge in a broad range of international tax issues including inbound, outbound and transfer pricing; understanding of tax planning on a multi-national level with an emphasis on corporate mergers and acquisitions, treasury, and transfer pricing required. Proven management skills backed by strong technical abilities and experience required. Strong: communicator both written and verbal with excellent interpersonal skills for mentoring and developing less experienced tax professionals; analytical skills; commercial and business awareness; skills in working with tight deadlines required.
