Associate General Counsel The candidate will work closely with PlayNetwork’s CEO and business team members serving as their adviser and partner on a variety of commercial transactions, IP, technology licensing and other legal matters. Will provide strategic, creative and effective legal and business advice; will use sound judgment in balancing legal risk against business needs and goals; work seamlessly and effectively with internal clients at all levels of the company and across all functional groups including Sales, Marketing, Finance, Product Management and HR; and efficiently manage a wide variety of responsibilities concurrently. Draft and negotiate commercial agreements with customers, technology partners, services providers, vendors, and licensors (including a wide variety of technology licenses, services agreements, building construction agreements and game license agreements). Oversee contracting processes and management. Create contract templates for new products and services. Provide legal support (including conducting and managing due diligence) in context of M&A, financing transactions and other matters with company-wide impact. Manage relationships between legal and various business groups within the company. Provide leadership as a participant in business team projects and meetings and serve as legal representative for such matters, including, commercial transactions, IP issues, technology licensing, etc. Contribute to business and legal teams as an adviser, idea generator, creative and strategic thinker.
Qualification and Experience
The candidate must have 5+ years of solid commercial transactions experience within a major law firm as well as in-house counsel within a corporation (strongly preferred). Experience with IP licensing and technology-related transactions highly preferred. Should have J.D. Degree from top law school with strong academic record and bar admission (and in good standing) in any U.S. state (preferably Washington). In-house experience with licensing and technology-related transactions highly preferred. Experience dealing with legal matters related to building construction is a plus. Deadline : July 30, 2017.
