ProfileVice President, Legal - Compliance and IP Counsel The candidate will have primary responsibility for legal matters in support of the following company-wide functions: intellectual property (protection, rights and clearances), ethics and compliance (including standards and practices), regulatory affairs, data security and privacy, litigation, licensing and merchandising, labor and employment, real estate and operations. Will work closely with Los Angeles & New York based colleagues and will report into Complex’s SVP of Business and Legal Affairs, Chief Legal Officer. Work with content development, production, and technology teams to ensure protection of intellectual property and best practices in creating content. Ensure compliance with all applicable data protection and privacy best practices. Negotiate and draft licensing and merchandising-related agreements involving intellectual property (other than content distribution agreements) Manage litigation portfolio. Proactively establish policies and procedures for the benefit of the company including standards and practices for editorial content production and compliance guidelines relating to native advertising and sponsored content. Use extensive knowledge of the entertainment industry including guild/union and non-union labor and employment law issues relating to series productions; intellectual property law; risk management issues, rights of publicity/privacy issues, to develop and apply company-wide policies. Manage a group of attorneys and business affairs professionals.
Qualification and Experience
The candidate should have a J.D. degree from an accredited law school of strong reputation. Should be an active member of New York Bar. Must have 10-15 years of business/legal affairs experience in a network, studio, entertainment law firm or production company environment. Excellent drafting, negotiation, communication (written and verbal), interpersonal, and organizational skills are required. Should have strong management skills with the ability to successfully supervise employees in remote locations. Must have substantive media-related intellectual property protection, rights acquisition and regulatory compliance experience from a respected law practice, studio or television network and be able to apply strategic negotiation skills, develop appropriate policies and guidelines, structure a rights and clearances management process and enforce standards and practices for content. General litigation experience is also beneficial. Must be able to work independently, multi-task under pressure, manage a varied, high-volume workload efficiently and smoothly and have the ability to independently exercise sound judgment and perform under tight deadlines with minimal supervision.
