Senior Intellectual Property Transactions Counsel The candidate will be responsible for solving a wide variety of complex IP transactional issues related to alliance and client-facing deals, developing and implementing firm-wide strategic initiatives, policies, best practices, training designed to mitigate and minimize IP-related risks to the company, and assisting from time to time with the IP aspects of M&A, JV, and other complex deals. Responsible for leading management of intellectual property issues on significant or complex client-facing or alliance related transactions and liaising with internal legal colleagues and business and technical teams as necessary to resolve those issues. Drafting, reviewing, editing, negotiating and counseling relating to key IP transactional provisions. Providing advice regarding intellectual property risks and rewards. Providing expertise, education and training across relevant legal disciplines and business for a wide variety of transactions. Counseling on open source software issues and licenses. Assisting where necessary on the management of intellectual property due diligence, analysis, structuring, drafting and negotiation of intellectual property terms and agreements during mergers & acquisitions and joint venture activity. Developing and formalizing IP-related processes, templates and form agreements. Developing and implementing firm-wide strategic initiatives, policies, best practices, and training designed to mitigate and minimize IP-related risks to the company. Supervising outside counsel and/or non-attorney staff.
Qualification and Experience
The candidate should have a Law degree. Undergraduate degree or comparable education in computer technology, software or electrical engineering or other hard science preferred. Should have 6+ years of experience practicing intellectual property transactional law (in-house corporate counsel or within a law firm). Must have 6+ years of hands-on experience in conducting and managing due diligence, and structuring, drafting, counseling and negotiating IP licenses and agreements and other IP-related issues in varied transactional arenas (e.g. client-facing, alliance, outsourcing, merger, acquisition, joint venture and inbound and outbound licensing activities). Significant experience in IP transactions and related counseling is preferred. Should have in-depth knowledge of intellectual property and information technology law, with extensive knowledge and experience of software licensing (including open source software), standards-essential patents, FRAND terms and mergers and acquisitions deals. Must demonstrate an ability to quickly and proactively identify, understand, and solve in a simple yet comprehensive way, a wide variety of IP transactional issues. Strong written and verbal communication and presentation skills; a basic fluency with computer technology (including Excel and PowerPoint) preferred.
