Profile

Senior Counsel, Products and Intellectual Property Duties: Manage critical legal and business matters pertaining to intellectual property licensing, trademark and copyright acquisition, patent prosecution and defense and general IP portfolio management. Draft and negotiate IP related transactional agreements ( OEM’s, Joint Development, etc.) and help to manage IP litigation. Actively involved in the IP aspects of M&A. You will partner with the product development team to develop IP strategies and manage product development process and marketing solutions. Work closely with senior management to provide pragmatic solutions. Having strong business acumen as well as superior legal analytical and writing skills are key factors for your success in this position. Review agreements involving technology and intellectual property matters, including drafting intellectual property agreements. Interact with Product Development team to develop IP strategies. Provide counsel on all IP issues, including copyright, trademark, patent, open source and licensing issues . Manage patent research and analysis projects. Manage IP due diligence efforts. Support and advise on open source compliance and risk management. Manage compliance on IP related matters. Assist on M&A and IP litigation matters.

Qualification and Experience

Qualifications: JD Degree. 7+ years of experience. Experience with intellectual property law related to software. Extensive experience advising on open source legal issues, including licensing, contributor agreements, and community issues Knowledge of technical aspects and business trends in operating systems, enterprise middleware, cloud computing, virtualization, containers, software-defined storage and big data is preferred. Ability to have completed multiple, complex technical projects. Experience with patent law, trademark law, open source software, in bound licensing transactions (some complex outbound transactions as well) and some IP litigation experience. Some M&A experience is preferred but not required. A technical background is preferred. Ability to manage tasks that are often unstructured and address undefined issues with new perspectives and creative approaches. Experience in drafting complex IP related transactional documents Top academic credentials Proficiency in Microsoft applications (Word, Excel, Outlook, PowerPoint).
