Profile

Legal Counsel IV The candidate will serve as an individual contributor within company's Supply Chain legal team, providing legal support for the hardware engineering, supply chain and service logistics organizations. Responsible for negotiation of complex hardware development, supply,contract manufacturing, logistics and technology licensing transactions. Advice and counsel on issues relating to hardware development, manufacturing and support, supplier disputes, legal and regulatory issues relating to hardware products, and company policies and procedures. Fiduciary support for regulatory, environmental and trade compliance and company policies. Provision of legal advice and services to the business; management of the legal systems. Responsible for managing legal matters pertaining to the organization. Provides a variety of corporate and commercial legal services and counseling to company's department and divisions. Represents company in litigation and other legal or administrative actions or investigations. Provides a variety of corporate and commercial legal services to company's departments and divisions. Acts as an advisor on legal issues involving the organization's government and regulatory compliance. Reviews legal data and advises organization on appropriate legal action to be taken. Coordinates legal matters handled by outside counsel. May develop and provide legal training to internal clients on an as-needed basis.

Qualification and Experience

The candidate should have B.S. Degree in computer science, computer engineering, or similar background. Should have passed state Bar or meets country specifications. Must have 8+ years of experience with complex inbound and/or outbound commercial transactions involving IP, technology, manufacturing and logistics issues. Strong fiduciary focus is needed. Should have experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license/technology agreements, employment law, immigration law, intellectual property, regulatory matters, contract management, and financing. Experience in trade secrets, advertising law, registration and other resolution specific to the computer and technology industry as well as SEC reporting is required. Must be proficient with both U.S. and foreign patent prosecution. Should have effective interpersonal and cross-organizational communication and collaboration skills. Demonstrated ability to learn new issues and subject areas quickly, manage competing priorities and maintain good judgment, sense of humor and focus when working in a fast paced environment is essential. Should have familiarity with cross-border tax, contracting and trade compliance issues. Proficient writing skills are required.
