Ecommerce Legal Counsel The candidate will join the Software, Cloud and Open Source legal team to lead legal strategy and support for the company's Software Application Delivery Management (ADM) group and the Online Business group and provide strategic guidance to company's Software on topic of e-commerce and web-based contracting. Will report to the Director and Associate General Counsel for Software, Cloud and Open Source. Provide direct legal support to the SVPs of the ADM and Online Business groups and staffs. Be a key advisor to executive management in influencing the strategic direction of ADM, a core company's business that is rapidly growing and is approaching $1B in annual revenue, and the Online Business, a growing new online community and marketplace for company's Software. Oversight over all legal issues arising throughout the product life cycle, including creation (e.g., inbound OEM, IP creation, etc.), marketing (e.g., review collateral, product documentation, event presentations, etc.), go-to-market (e.g., direct, channel, partner, and outbound OEM contracting efforts), compliance (e.g., import/export, global trade, privacy/security, etc.), end of life, and litigation (e.g., IP litigation, HR litigation, etc.). Lead the development of proactive programs and tools to assist the clients and members of the OGC in addressing questions related to e-commerce and web-based transactions. Manage the development and implementation of legal strategies for senior management for the Applications Delivery Management and Online Business divisions of the company's Software business unit. Provide specialized legal expertise in the area of e-commerce / online contracting and acts as a subject matter expert for other business unit attorneys on the company's Software legal team. Develop and recommend innovative process improvements to effectively address business needs that can be implemented across the Software legal team and across company in general. Identify and resolves highly complex legal, regulatory, and business issues. Lead complex, multidimensional projects. Takes full accountability for clients’ legal needs by networking effectively to achieve resolution of matters outside of direct subject matter expertise or responsibility. Influence external industry counsels, policies, and regulatory bodies in area of cyber security.
Qualification and Experience
The candidate should have an advanced university Degree in law (e.g. JD or LLB)and meets local legal license requirements. Must have 10+ years of commercial legal experience at a law firm or in-house. Knowledge of technology law and contract law; understanding of antitrust law and international IP laws and treaties is essential. Knowledge and strategic understanding of the information technology industry, and an ability to anticipate the strategic implications of proposed transactions and software licensing, SaaS, and cyber security trends is needed. English language skills to business standard is required.
