Temporary Business and Legal Affairs Counsel Candidate will support growing diagnostics business. Will work closely with the Chief Business Officer/General Counsel. Support and build the legal department, with hands-on responsibility for many legal aspects of the business including commercial transactions, intellectual property and SEC filings. Review, negotiate and draft commercial agreements involving all functional areas of company from routine agreements to major transactions. Provide counsel and explanation of legal policies to internal stakeholders on a variety of legal and regulatory issues. Advise Chief Business Officer/General Counsel on contract status, legal risks and business terms of various deals. Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes, and consult with outside counsel on same when appropriate. Keep abreast of legislative changes that may affect the company and the diagnostics industry. Perform risk management analyses to minimize risks and maximize legal rights. Review marketing materials to ensure compliance with legal requirements. Assist in the management of intellectual property portfolio, including maintenance of existing IP and filing of new patent and trademark applications. Support securities filings, such as 10-Qs and Ks. Keep abreast and advise company on key IP issues affecting the company and its IP portfolio. Manage various projects and deadlines. Perform any other duty as assigned by the Chief Business Officer/General Counsel.
Qualification and Experience
Candidate should have admission to State Bar of California. 7+ years’ commercial legal experience in Biotech/Pharmaceuticals/Diagnostics sector, including 2 years as in-house counsel is needed. IP, litigation and regulatory legal experience is a plus. Proficiency with MS Word, Excel and Power Point is required. Note: This is 6 months assignment.
