Vice President, Corporate Counsel The candidate will be responsible for handling a full range of legal matters that arise in connection with the distribution of individual life and annuity products issued by company. Will support businesses that are leaders in the industry for individual life and variable annuity sales in various channels: independent broker/dealer, wirehouse, banks and agencies. Among this attorney’s responsibilities will be the provision of counsel to and representation of company’s Individual Life Insurance business unit and an affiliated broker-dealer that serves as principal underwriter for company’s variable annuities and mutual funds offered through variable products. Provide counsel and advice to various internal business units and management, as well as to other members of the Law department. Responsibilities: Providing thought leadership and support as a key member of the distribution legal team; Providing legal and regulatory advice and counsel to retail and wholesaling broker-dealers distributing primarily variable life insurance, variable annuities and mutual funds; Providing legal and regulatory advice and counsel to company’s individual life insurance and annuity business; Representing and counseling insurers and broker-dealers before Federal and State Regulators, and Self-Regulatory Organizations; Coordinating with Compliance and Risk Management Departments to provide legal analysis and counsel in connection with the sale, distribution and wholesaling of individual life and variable annuities, and related products; Keeping management and other personnel up to date on pertinent legal and regulatory developments; Perform special projects as assigned. Some travel is required.

Qualification and Experience

The candidate must have a J.D. degree from an accredited law school, be admitted to practice law in at least one state, and obtain a Connecticut Authorized In-House Counsel and New Jersey In-House Counsel License, as applicable, within the required time. Should have 7-15 years of legal experience involving the laws related to the sale and distribution of life insurance and variable annuities. Experience in the following areas will also be helpful: broker-dealer counsel including FINRA Rules; corporate governance, insurance and securities law, advertising, anti-money laundering, C AN-SPAM, e-commerce, marketing, privacy, social media and telemarketing laws. Must have exemplary analytical, practical problem solving, oral and written communication skills, as well as the capacity to work independently.
