Senior Insurance Lawyer The candidate reporting to the Head of the Structured Derivatives Legal Team, will be expected to develop a strong relationship with the MARK/SOL business responsible for SG’s macrolongevity insurance transactions to ensure that it receives a first class service from the Structured Derivatives Legal Team. The work consists of legal and regulatory support for company’s insurance related business focusing on intermediation of longevity and mortality risk among risk takers and sponsors. Will be to maintain a fast pace of transaction review and interface with an extremely demanding and technical business team. Main responsibilities: Replicating company’s existing insurance transaction model and structuring new insurance transactions together with representatives of the sales and financial engineering teams. Assisting in the review of legal and regulatory aspects of all insurance transactions as well as drafting and negotiation of proposed transaction and participating in client meetings as required. Commissioning legal and regulatory advice for insurance products from external counsel and interpreting such advice to minimize legal and regulatory risk to company. Advising the business on legal and regulatory risks across its product range, inputting on strategies involving potential legal risk and assisting with client communications from the point of view of managing legal risk. Coordinating activities with counsel of sister companies/other branches involved in the transaction process. Advising, as required, on contentious matters. Will be required to work within the Structured Derivatives Legal Team, be responsible for seeing his/her own matters through to completion and manage very demanding internal clients.
Qualification and Experience
The candidate should have University graduate with top academics. Must be Solicitor of the Senior Courts of England and Wales (or analogous common law qualification e.g. other UK/US/Australia/New Zealand/South Africa and intention of taking English QLTT). New York qualified lawyer is a definite plus. Should have in-depth knowledge of insurance industry and cross border legal and regulatory issues. Must have following experience: Detailed experience executing longevity transactions with both hedgers and risk takers in both reinsurance and derivative form; Experience with analysis of insurance characterization in various jurisdictions, and ability to manage external counsel advising on characterization and to analyse risk to company of insurance transactions; Experience with XXX, AXXX and other structured insurance transactions is beneficial; Previous experience of working in-house in either an investment bank or other relevant financial services environment, including experience in working with different internal departments and functions and ability to work on the trading floor (ie direct transactional experience as support to front office). Must have good working knowledge of Microsoft Office suite of applications (especially Word and Excel) and Lotus Notes. Should have high level of direct contact with internal clients (business lines), other internal support functions and external counsel as required (see above), as well as external clients (risk seller and risk takers). Should have demonstrable ability to deal with work promptly, accurately and in conformity with the internal guidelines of company’s Global Banking and Investor Solutions banking division. A proven ability to exercise prudent commercial judgement while managing legal risk is needed.
