Profile

Corporate Counsel The candidate will provide effective, responsive, and strategic legal advice to company’s global corporate real estate, facilities, sustainability, procurement, corporate events, global brand & marketing professionals. Provide strategic, proactive counsel on (i) complex commercial leasing, construction and facilities management matters to support the company’s corporate real estate strategy, (ii) sponsorship agreements to promote the company’s business, (iii)supplier and outsourcing contracts to drive cost saving and support the company’s growth initiatives including the development and deployment of new digital products and platforms, and (iv) other responsibilities as assigned, as one of a team of Global Corporate Services Unit attorneys. Provide strategic legal advice, structure transactions and negotiate complex commercial office leases, real estate acquisitions, sale/leasebacks, construction contracts for headquarters and corporate locations around the world to support the company’s corporate real estate strategy. Negotiate agreements and provide strategic legal advice and support to vendor sourcing, IT, advertising, global branding & marketing, corporate services, corporate events, corporate real estate business units worldwide. Provide support for corporate M&A activity. Monitor laws and trends in an evolving legal and regulatory environment, determine their impact, and develop compliant solutions and preventative law measures to mitigate risk; proactively developing and advancing positions that appropriately further company’s priorities. Familiarizing oneself with Law Department and business line operations with an eye toward identifying potential efficiencies and opportunities for the company or its customers, to manage risk or improve operations. A J.D and 3-5+ years of relevant experience in-house or with major law firm required. Experience in insurance legal issues, and experience practicing in a global environment preferred. Deep and broad understanding of commercial real estate law and strong research, analytic and problem-solving skills related to these areas and legal experience in vendor contracting considered a plus, including in the areas such as cloud computing, software licensing, open source, offshoring, outsourcing, consulting, telecommunications, market data, sponsorships, advertising and marketing required. Crisp, clear client communication skills; in particular, the ability to reduce legal issues to straightforward practical analysis and advice required.
