Legal Counsel The candidate will be providing support for the commercial go to market functions of HP Software, including negotiation and drafting of master agreements and transaction documents for acquisition of the full breadth of HPSW products and services, driving integration and operational infrastructure initiatives and other go to market functions. Will provide guidance to our client constituencies spanning the HP Software business teams and product portfolios. Will have the opportunity to partner with senior business leaders and legal colleagues around the globe to develop and implement advancements to the business unit's commercial operations and processes in accordance with legal and compliance requirements. Will be a key contributor to the HP Software business team. Provide negotiation and drafting support of outbound contracts and license, SaaS and professional services transactions to the software business as required. Provide legal support for various go to market endeavors, such as web selling and SaaS within the business unit. Identify and assess legal and business risks of current commercial operations and processes. Collaborate with various business owners and legal colleagues to develop process improvements and operational policies. Act as key advisor to business owners and senior business leaders with regard to various legal issues, including risk mitigation. Provide legal advice and support on customer license compliance issues and disputes. Manage alignment of work activities and key initiatives with overall priorities of the HP legal function.

Qualification and Experience

The candidate should have advanced university degree in law (e.g. J.D. or LLB degree) with 4 years commercial legal experience at a law firm or in-house. Should have established knowledge of software licensing and hosted solutions such as SaaS. Advanced knowledge of key business and contractual risks and strong ability to articulate same and develop mitigation strategies or solutions. Demonstrated ability to apply knowledge of laws and regulations to actual client matters. Ability to influence different functions and geographies and to build consensus where lines of authority . Proficiency in seeking input from senior business management based upon articulate and succinct evaluation and recommendation.
