Counsel, Digital Transactions Duties: Draft, review, and negotiate a wide variety of internet, new media, software and related technology licenses, and operational and transactional agreements for firm and its various business units, including for their respective websites, mobile apps and other digital platforms. Agreements may include license agreements for SaaS solutions & hosted services, software and technology license & development agreements, social gaming license & development agreements, consulting & other digital services agreements, and a variety of other operational and transactional agreements. Counsel clients on risks associated with engaging in a variety of digital activities and social media usage. Advise clients regarding contractual rights and duties, matters of contract interpretation and pre-litigation dispute resolution. Coordinate with Intellectual Property team on intellectual property usage and clearance issues for firm’s digital media properties. Coordinate with Privacy and Information Security teams to ensure personal data and confidential information is collected, used and secured in accordance with company requirements collection, use and security of personal data and information. Provide legal support to procurement teams regarding acquisition of digital services and technology. Provide guidance on development of websites and mobile apps; manage mobile terms of service and counsel clients on their use.
Qualification and Experience
Qualifications: Law degree and member of a state bar in good standing. 4+ years related experience at law firm or comparable in-house position. J.D. degree, Bar admittance, and 4 or more years of related experience desired. Significant experience in licensing and development of digital technologies and platforms. Experience in news/digital media a plus. Capable of providing practical, timely legal advice to members of business team at all levels. Strong work ethic with ability to work independently, multi-task successfully and meet multiple deadlines in a fast-paced environment, with minimal supervision. Must be a team player.
