Senior Counsel, Legal Business Partner - Technology Duties: Partner with Technology Enabling Function and in particular the Vendor Management Office and to provide legal advice and guidance for complex technology procurement deals. IT/Technology lawyer with deep procurement, outsourcing and technology experience, who would be thriving in a fast paced commercial environment and with a keen interest in computing and related technology. Draft , review, negotiate and structuring commercial and IT agreements including: MSAs, SOWs, services and consulting agreements, licensing agreements, software development contracts, SaaS agreements, SLAs Work on complex deals involving nuanced global data protection, data security and privacy issues, as well as IP and open source . Work in a collaborative way with colleagues in the global legal function including sharing knowledge and know-how and providing views and comments to assist with the development and maintenance of standardized legal documents, templates, approaches and processes. Ensure knowledge of legislative and regulatory developments remains up to date and relevant to helping the business achieve its strategic objectives. Confer with colleagues with specialties in appropriate areas of legal issues such as data protection, or IP. Ensure that the business is aware of how to minimize legal risk in the context of maximizing commercial opportunities. Support the business in resolving problems. Assist in ensuring the effectiveness of the legal function and consistency of legal advice and processes globally. Communicate clearly and accurately on legal issues.
Qualification and Experience
Qualifications: A Law Degree and must pass written bar examination or other certification as required by specific country where the position is located. US qualified (in addition to local qualification). Must have been trained with a reputable law firm, and in-house experience would be desired. 6-7 years of post-qualification experience required. An approachable, down-to-earth and resilient personality with strong communication, negotiation and influencing skills and the ability to interact at all levels of the organization; someone who displays clarity and efficiency of expression and is able to engender trust. A self-confident and organised self-starter with high energy and drive, motivated by excellence and a passion for the business, with a real sense of vocation and appetite to contribute to Pearson’s strategic goals and values in improving learner outcomes. The strength of character to speak his or her mind, combined with the judgment and tact to know when to insist and when to pull back; a good listener with the flexibility to adapt to the circumstances. A natural bias to take responsibility, be accountable and set an example; skilled at managing large, complex legal projects, taking a leadership role in driving solutions and working under pressure to meet challenging deadlines. Demonstrable EQ, with a sensitivity to cultural and jurisdictional nuances and ability to fulfill an ambassadorial role for Pearson – this is particularly important given the role’s cross-border scope and involvement in deal execution. An ability to work well as a member of a team within a matrix organization; a lawyer who is collegial and collaborative, contributing to a positive working environment, with a commitment to diversity and respect for others. A practical, commercial mindset, with a sense of action and an ability to balance the legal issues of a project with the goals of the business; able to recognise the business consequences of legal advice. A strong, logical legal mind with the ability to apply abstract concepts of law to make timely, well-reasoned and appropriate decisions to solve problems. Ability to function autonomously coupled with sound judgment on when to advise management of issues or developments. Willing and able to travel as needed on Corporate, Finance Function or Legal Function business. Exemplary personal and professional integrity and business ethics; someone who exercises discretion and maintains confidentiality of sensitive information.
