Profile

Senior Counsel The candidate will act as the most senior corporate and commercial Americas counsel, working independently on major commercial agreements as well as leading a team of commercial counsels for our Americas’ business. Will be instrumental in negotiating commercial transactions with leading global enterprises, and will serve as the primary point of contact for senior sales executives and other departments. Will report to General Counsel and will require some domestic and international travel. Manages and negotiates software licensing and support contracts. Manages and negotiates agreements with strategic partners and technology alliances. Manages a growing team of commercial counsels in the US. Drafts and negotiates inbound software licenses including open source, technology co-operations and OEMs. Supports the General Counsel in corporate and compliance matters and other departments throughout the organization. Supports many departments throughout the organization (such as marketing, human resources, finance, procurement).

Qualification and Experience

Qualifications: JD Degree, Massachusetts and/or New York Bar. 8+ years of experience in practicing commercial law in a global high-tech company, preferably software/cybersecurity. Proven experience in commercial IT transactions (software licensing, software and hardware resale and distribution agreements, OEM transactions, maintenance and support, professional services and consulting in the IT domain etc.). Experience in securities law, employment law, mergers and acquisitions an advantage. Highly motivated individual who has experience managing a team, thrives in a fast-paced collaborative environment, and is readily available to changing and organization requirements. Strong interpersonal skills, team player and leader, experience working in cross-cultural environments. Business oriented, ability to think strategically and establish a “trusted advisor” relationship with internal clients. Outstanding negotiation and persuasions skills. Creative and pragmatic thinker, responsive and proactive. Deep understanding of the business, technical, legal and financial aspects in contract negotiation and actual performance. Ability to work independently with minimal supervision and to manage other counsels on the team. Motivated self-starter who is resourceful and has the initiative to resolve problems.
