Staff Counsel Duties: Will report to the Senior Group Counsel, Americas. The primary focus of the role is to provide support for technology transactions related to sales, distribution, and engineering, particularly software transactions. Additionally, this role provides support for marketing, corporate communications, and professional services. Draft, review and negotiate software licensing agreements, principally for corporate products sold to customers. Provide counsel and negotiate distribution channel agreements. Draft, review and negotiate purchasing documents. Draft, review and negotiate other commercial agreements such as nondisclosure. agreements, assignment agreements, and vendor agreements. Work closely with accounting and revenue recognition teams and provide counseling on business and legal issues that arise during transactions. Counsel sales personnel on customer contract negotiations and assist in negotiations by identifying solutions and suggesting alternatives. Draft, review, and negotiate complex in-bound technology licensing agreements. Review and edit marketing and advertisement collateral quickly and accurately. Provide advice and guidance to contracts professionals within the legal department. Perform other duties and projects as assigned.
Qualification and Experience
Qualification Requirements: A J.D. degree. California Bar admission. 4-6 years of experience in software and/or technology transactions, particularly sales and distribution. Excellent analytical, writing and problem solving skills. Excellent business judgment, strategic thinker, well organized and able to manage numerous projects simultaneously under deadline pressure. Flexibility and willingness to work on a broad variety of legal matters while being solutions minded. Must be resourceful and self-motivated. Excellent organizational, communications, and writing skills. Must be able to multi-task. Preferred Qualifications : Some in-house experience. Knowledge of technology transactions; In-bound and out-bound software licensing; sales and distribution counseling; marketing review and support.
