ProfileCounsel, Global Procurement & Technology The candidate will be responsible for supporting the Company’s IT function, primarily by negotiating complex commercial contracts on behalf of the company’s system for IT solutions including cloud, (SaaS, PaaS, IaaS), outsourcing, managed services and cellular agreements. Expected to dedicate a portion of his/her time to provide legal support for the Company’s strategic procurement sourcing in certain product categories for the Company, the Company’s Bottling Investment Group, and the system’s joint procurement program with its authorized bottlers. Report to the Senior Managing Counsel, Global Procurement & Technology and work cross functionally with the business partners in the worldwide legal operations to efficiently negotiate solutions, draft agreements and manage the IT, Cloud, Privacy and Data Security risks facing the Company. Negotiate complex commercial IT solution agreements incorporating understanding of privacy, data security, antitrust and intellectual property law, among other areas. Work independently and efficiently manage a challenging portfolio of sourcing projects with an approximate mix of 70% IT, 30% Procurement. Draft IT and procurement agreements that facilitate the business, drive efficiency and manage the Company’s risk. Provide legal support and governance to the IT, Procurement and Juice Functions in the Company, including advice and counsel regarding compliance with the Company’s corporate policies and the Code of Business Conduct. Provide legal and/or business advice to company associates with respect to day-to-day operations. Provide legal and/or business advice to senior management regarding significant obligations, risks and opportunities. Identify, engage and closely manage outside counsel to perform outsourcing services for appropriate IT matters. Manage outside counsel budgets, fees and costs and review and approve invoices. Develop legal subject matter expertise in relevant practice area(s): cloud hosting, privacy, data security, antitrust, and intellectual property.
Qualification and Experience
The candidate should have JD Degree and a practicing member in good standing of a US state or international Bar. Must have 5-8 years of experience in a large national law firm or major corporate law department setting with successful transactional experiences and specific experience handling matters involving Cloud Hosting, Privacy and Data Security, among other related issues. Experience in other relevant areas, such as food law, intellectual property, marketing, and antitrust required. Stellar academic credentials required, including superior records from undergraduate institution and top-tier law school; participation in law review or advocacy program a plus. Excellent verbal and written communication and strong interpersonal skills required. Ability to develop and effectively communicate sound legal advice and/or analysis, including the suggestion of alternative business solutions and best practices while taking into account client's role, objectives and risk tolerance. Ability to determine and understand client objectives and risk tolerance. Includes knowledge of methods and/or techniques used to determine to identify objectives or risk tolerance and ability to incorporate the information in making legal decisions. Strong oral and written legal advocacy skills necessary. Ability to research and draft legal memoranda. Ability to conduct and analyze legal research to determine applicable legal principles. Knowledge of and ability to use legal research resources, including electronic research tools. Ability to devise legal solutions that reduce financial liability, costs and negative publicity to acceptable levels. Ability to determine appropriate role of outside counsel, including setting parameters for involvement. Includes ability to determine appropriate staffing and controlling fees, costs and expenses.
