ProfileCorporate Counsel The candidate will be responsible for assisting with a variety of matters relating to company’s global alliances, with a focus on OEM business and US government contracting, including developing and drafting program documents, negotiating agreements, and advising global stakeholder on matters related to alliance and partner management and development. Provide support to company’s cloud business and ecommerce teams and global training organization, including development of global forms and procedures. Further, this position will be responsible for working closely with senior business leaders in implementing legal procedures and processes that are aligned with key business objectives. Design, develop and draft global partner and alliance program documents and agreements. Negotiate OEM partner and alliance agreements. Work closely with the partner and alliance organization and finance teams to ensure that transactions meet business and finance goals. Assist with development of US government contracting processes, including compliance policies. Support other business lines as necessary, such as global education services, with form agreements, policies and procedures. Assist in supporting company’s cloud and ecommerce teams with designing, developing and drafting agreements, policies and procedures and negotiation of customer and vendor agreements. Assist in educating applicable employees and ensuring compliance with company’s corporate and global policies. Work with all aspects of channel partner team to ensure compliance with program rules and requirements, including with respect to IP, trademarks and financial requirements. Responsible for preparing and ensuring that global alliance, partner, and OEM teams and training organization have access to all necessary form agreements. Assist with other transactional work including strategic initiatives and licensing agreements. Assist in other matters as needed. Develop close working relationship with global client base. Work closely in supporting legal team members. Understand trends in software alliances, cloud and ecommerce products and service offerings, and partner channels and impact on sales and licensing teams. A JD with demonstrated achievement from a top law school and 3 – 6 years of experience with substantial software licensing experience at a software company or in a technology-related practice at a top tier law firm required. Strong: written and verbal skills; judgment, and strong interpersonal, project management and organizational skills required. Bachelor equivalent mandatory. Business level English mandatory required. Other relevant languages are preferred (Spanish, Brazilian Portuguese). Software industry / Channel sales / International experience preferred. Cloud and ecommerce experience would be an advantage.
