Corporate Counsel - Compliance The candidate will provide legal services and advice to in-house clients, including foreign trade, supply chain, commercial team and others regarding ethics and compliance issues and the company’s ethics and compliance program. Maintain and update the Global Standards of Business Conduct and related policies and procedures. Stay current on enforcement and compliance requirement trends, identifies potential areas of risk, documents such assessments, and proposes and ensures appropriate individuals are assigned responsibility for oversight in risk areas. Collaborate with other corporate functions, such as legal, security, internal audit, controllers and human resources, and with business units to resolve issues and mitigate risks. Manage the company’s helpline to ensure it provides an effective tool for reporting potential issues or seeking guidance. Develop and deliver training and communications programs to educate employees and management and promote ethical and compliant culture. Evaluate effectiveness of program elements and recommends and implements improvements based on such evaluation. Perform or oversee investigations on the company’s behalf. Prepare reports for senior management and the board of directors on the operation and status of the company’s compliance program. Coordinate legal matters handled by outside counsel. A JD degree and license to practice law is required. 8+ years of experience, including substantial experience in internal investigations and/or litigation, preferably involving transnational laws such as anti-corruption laws is required. Experience in or exposure to semiconductor industry is preferred. Practice experience in Asia and experience advising or maintaining ethics and compliance programs is preferred. Korean or Chinese language proficiency is strongly preferred.
