Commercial Attorney (Technology) Duties: Drafting and reviewing technology agreements such as: License agreements. Product distribution agreements (including reseller, OEM, distributor, representative and other channel agreements). Product and intellectual property development agreements. Internet-related agreements. ASP agreements. IC foundry and ASIC agreements. Research agreements. Manufacturing and supply agreements. Materials transfer agreements. Publishing agreements. Multimedia agreements. Non-disclosure agreements. Professional services agreements. Corporate partnering transactions, such as strategic alliances and joint ventures.
Qualification and Experience
Qualifications: Bachelor's Degree required. JD Degree required. 5-10 years of experience optimally. Experience at large technology firm preferred. Ability to work cross-functionally with other project teams and executive management to provide coordinated support to the client. Proven ability to work in a client-centric, deadline driven environment. Highly detail oriented, with good analytical skills, financial acumen, and business judgment. Excellent drafting skills, particularly depicting complex ideas clearly and concisely. Good negotiation skills; with ability to find solutions and common ground. Professionalism in both verbal and written work. Strong adherence to and appreciation of confidentiality obligations. Excellent listening as well as communication skills and the judgment to know which skill to use in a given setting. Integrity and ability to own mistakes. MS Office: Excel, Word, PowerPoint and SharePoint skills.
