General Counsel Duties: Serves as a key member of the CEO’s leadership team, and advises on all legal matters before Health Plan firm. Will provide senior management with effective advice on company strategies and their implementation, manage the legal function, and obtain and oversee the work of outside counsel. Will be directly involved in complex business transactions and negotiating contracts. With broad latitude for independent judgment and discretion, will work with all Neighborhood departments who together support the growing needs of a company transforming managed healthcare delivery. Maintains familiarity with all requirements of law and regulation affecting the operation of a managed care company. Provides legal counsel and support to functional and/or operational groups within the organization; provides legal support to business on strategic initiatives of the company and answers inquiries from staff regarding legal issues. Reviews and advises on current policies, procedures, handbooks and updates; provides guidance on policies or procedures that should be developed to promote compliant and efficient operations. Manages process for review of contracts into which Neighborhood enters so that they best serve the organization’s needs and mission. Partners with Human Resources, Risk Management, Compliance and other departments to assist in the successful implementation of their areas of responsibility. Advises executives on contract status, legal risks and business terms of various deals. Reviews business operations to maintain compliance in all legal aspects and develops legal opinion, with in-house or outside resources, on Company business model and any potential changes to the Company business model. Provides assistance with strategic partnership deals. Advises on privacy incident investigations and approaches to complex data privacy protection and needs within the company. Directly performs legal tasks of a varying nature which are attendant to the operation of a non-profit health plan, including but not limited to the preparation and negotiation of provider, procurement, and other contracts affecting Neighborhood, and the interpretation and dissemination of new legal requirements. May negotiate and draft major contracts between Neighborhood and other companies, state and federal agencies, etc. Review advertising and marketing materials to ensure compliance with legal requirements. Selects, retains, manages and evaluates outside counsel; directs work to outside counsel performing legal tasks for Neighborhood. Offers advice and maintains records with regard to tax matters. Provides training to company on substantive legal topics. Has direct and indirect management responsibility for staff. Corporate Compliance Responsibility - As an essential function, responsible for complying with Neighborhood’s Corporate Compliance Program, Standards of Business Conduct, applicable contracts, laws, rules and regulations, policies, and procedures as it applies to individual job duties, the department, and the Company. This position must exercise due diligence to prevent, detect, and report unlawful and/or unethical conduct by fellow co-workers, professional affiliates and/or agents.

Qualification and Experience

Qualifications: J.D. Degree from an accredited higher education institution. Membership in good standing in the Rhode Island State Bar or the ability to gain membership within twelve months of hiring. 8 – 10 years of experience in the corporate environment, preferably in managed care. Experience with corporate transactions, governance, employment, real estate, contracts, consumer protection, and compliance, litigation and other legal processes. Business acumen, including a well-developed ability to diagnose corporate legal problems and present positive, creative solutions and alternatives. Familiarity with managed care, health care regulations, non-profits, associations and government contracts preferred. Knowledge of laws and regulations affecting the operations of a managed care company. Exposure to and/or familiarity with the following areas of law: HIPAA, Data Privacy, IRS Regulations affecting Health Care. Experience working on matters of corporate governance and with a board of directors. Experience supervising support staff as well as experience with cost effective management of outside legal resources. Excellent oral and written communication skills; acute attention to detail. Strong management and leadership capabilities. Outstanding interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively and engender trust and confidence with personnel at many different levels throughout the Company. Proficiency with computers, including strong word processing skills.
