Associate General Counsel Duties: Works under the supervision of the General Counsel, serves as legal counsel to organization's system and its affiliates, assisting with the delivery of legal services to all aspects of the organization, and coordinating closely with the corporate compliance, risk management, claims management, safety, security, emergency management and accreditation/licensing functions. Provides administrative oversight to Institutional Review Board. Assists with the provision of a wide variety of legal services related to Health System operations, programs, facilities and personnel in an appropriate and timely manner. Provides legal services related to appropriate subject matters, including supporting to clinical, operational and business areas; corporate transactions (including acquisitions, real estate transactions, joint ventures, financing arrangements, contracts and agreements); corporate governance; labor and employment issues; medical staff issues (peer review, credentialing, discipline, etc); government agency regulations and licensure; government agency and law enforcement investigations; internal investigations; intellectual property and licensing; nonprofit and community benefit support; Certificate of Need support; tax and audit support; insurance support; security support; safety support; and related matters and issues. Assists with responding to legal and regulatory issues and questions pertaining to patient care, social work and similar areas and subjects, including assistance with: advance directives, guardianships and probate matters, Involuntary Emergency Admissions, subpoenas, search warrants, legal record requests and other legal process, patient, parent and guardian rights and consent issues, and other similar matters; includes on-call coverage as “Legal Administrator On Call” for such issues, as a shared responsibility with the General Counsel, Director of Risk Management and Director of Compliance on a rotating basis. Reviews, negotiates and revises contracts, and coordinates contract management; drafts and reviews policies involving legal issues. Coordinates closely with and provides legal support to corporate compliance, particularly relating to: billing and coding compliance; government and payer audits; whistleblower and compliance hotline; healthcare fraud and abuse laws including Stark and Anti-Kickback Statute; privacy laws including HIPAA;; system-wide policy coordination; and related matters and issues. Coordinates closely with and provides legal support to risk management claims management, safety, security, emergency management, and accreditation/licensing. Provides administrative oversight for all Institutional Review Board (clinical trials and bioethics oversight) services. Assists with the department’s budget and develops department strategic plans (based on organization strategic initiatives) and fiscal goals. Assists with liaison relationships with outside counsel and other consultants as required. Assists with the provision of legal educational programs and training for management and appropriate personnel. Provides input on committees in areas related to legal aspects of health care delivery. Responds to requests from managers to draft, review and/or revise contracts, policies and related documentation as appropriate.

Qualification and Experience

Qualification Requirements: A Juris Doctorate degree from an accredited law school. Must be admitted to practice law in at least one state and eligible for admission to the New Hampshire Bar. 5+ years’ experience as a practicing attorney, with relevant experience (such as health care, litigation, professional liability defense, regulatory, labor and employment, and/or corporate) required. Prior experience in health care corporate legal environment preferred. Extensive knowledge of state and federal health care fraud and abuse laws, particularly the Stark law and Anti-Kickback statute, and familiarity with other health care laws and regulations. Extensive knowledge in the areas of contracts, corporate and commercial law, corporate organization and governance, and health care and hospital law. Excellent analytical skills and written and verbal communication skills. Ability to work collaboratively and be a highly supportive member of multiple legal/client teams. Ability to manage a high volume of work and multiple priorities in a fast-paced environment. Ability to regularly works evenings for meetings and availability at any time for work-related situations.
