General Counsel The candidate will be responsible for leading corporate strategic and tactical legal initiatives. Will provide senior leadership with effective advice on company strategies and the implementation, and obtains and oversees the work of outside counsel. Involved in complex business transactions in negotiating critical contracts, agreements and mergers and acquisitions. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Advises on legal aspects of the System's financing, including assessing and advising on current and future business structures and legal entities. Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Prepares, reviews and negotiates contracts, requests for proposals and other legal documents including health care provider and vendor contracts to ensure contractual information is compliant and accurate. Assumes ultimate responsibility for ensuring that the SSHS conducts its business in compliance with applicable SEC et al. laws and regulations. Works with leadership to resolve contractual issues or concerns as arise. Identifies potential areas of legal risk within the organization's contracts, agreements and acquisitions. Keeps leadership informed of findings and recommends strategies to minimize liability exposure. Acts as the Health System's representative to outside counsel to ensure effectiveness and alignment of outside counsel with System objectives. Assists in the negotiation of contracts with opposing counsel. Conducts research into legal matters as requested and stays up-to-date on current legislation pertaining to business contracting, mergers and acquisitions.
Qualification and Experience
The candidate should have Juris Doctorate from an accredited law school, current license to practice law in Massachusetts coupled with a 10+ years of practicing business law required, including healthcare operational related experience. Specific experience in business contracting, acquisitions, and administrative procedures preferred. A strong command of regulations relating to Medicare and Medicaid reimbursement and state and federal fraud and abuse laws including the Stark Law, the Anti-Kickback Statue, and the False Claims Act a plus. Solid knowledge of regulatory compliance as it pertains to client server contracts, vendor agreements and or physician contracting is highly desired.
