Vice President, General Counsel The candidate will be head of the Legal and Compliance Department. Will provide legal services as required in legal proceedings. Responsible for planning, overseeing, and managing the legal, compliance, privacy affairs and ethical matters for the entire organization. Ensures organizational activities and strategic matters meet legal and regulatory requirements. Member of Executive Leadership Team. Oversees and manages delivery of legal services and resources, including the selection, retention, management and evaluation of outside counsel, to facilitate and accomplish organization goals, initiatives, strategies and priorities. Provides legal counsel to the Chief Executive Officer and other senior management as well as other decision making or Executing groups and individuals, pertinent to the everyday operation of the organization as well as contemplated actions. Attends meetings of the Board of Directors and advises the Board in legal matters as requested. Responds on behalf of the organization to all legal claims and legal inquires directed to or against the organization or, to the extent the organization has an interest, its employees and contractors including monitoring and managing any litigation, or disputes which may give rise to litigation. Interprets, and ensures compliance where applicable, of laws, rulings, regulations, agreement, and contracts for the organization, as well as conducting research and analysis of specific legal questions and preparing memoranda, opinions and position papers upon request. Advises the organization on the litigation risks of possible business decisions, provides preventive counseling with respect to the legal risks associated with business practices, and develops strategy with both management and outside counsel in response to civil litigation and regulatory inquiries (including negotiating settlement agreements where appropriate), and assists in the execution of such strategies as requested and cost-effectively manages the resources required to address those matters. Oversees the Compliance Program, including HIPAA Privacy, and the Compliance staff. Responsible for internal investigations, developing, managing and maintaining an effective compliance program which among other things monitors possible areas of compliance risk and implements corrective action plans for the resolution of current and potential problems, evaluates existing privacy policies and procedures of the organization, formulates new ones and works with the Information Technology Department to review all system-related information security plans throughout the organization's network to ensure alignment with security and privacy practices. Institutes a standard reporting mechanism within the organization for the reporting of compliance issues for investigation and resolution, including confidentiality measures for reporting employees and reporting of violations to outside authorities as appropriate or required. Provides reports on a regular basis to keep the Board of Directors, the Chief Executive Officer and senior management informed of the progress and status of the compliance program, and advising them of new developments in ethics and regulatory compliance. Develops, communicates and monitors policies and procedures for the organization's standards of legal and ethical conduct. Coordinates with the Human Resources Department to develop an effective compliance and legal matters training program, including appropriate introductory training for new employees and ongoing training for existing staff and ensure that there are consistent consequences for failure to comply with privacy policies for all individuals within the organization. Develops implements, manages and maintains a contract management system for the negotiating, drafting, reviewing and warehousing of all contracts, agreements and legal commitments of the organization. Develops, implements, and maintains systems and processes for the documentation and tracking of legal matters, including, for example, filings and registrations, legal threats, business agreements, and the like. Manages the selection and administration of insurance policies for the organization, including general liability, directors and officers, fiduciary liability, professional liability, and other such policies. Participates in the definition, development and drafting of organization internal documents, policies, procedures and programs as requested. Provides or coordinates advice to Human Resources staff in all legal issues relating to employment law discrimination, diversity and equal employment opportunity. Keeps abreast of legislative changes that may affect the organization and recommends opportunities or required changes to take advantage of new legal and regulatory developments and likely trends. Maintains proper organization interactions with the relevant local, State and federal governmental bodies, legislatures and the community at large.

Qualification and Experience

The candidate should have J.D. degree from an ABA-accredited law school. Must have 7 years’ experience practicing law with large law firm, government agency with responsibilities in healthcare area, or in-house experience with nonprofit organization. Demonstrated skill in wide range of areas including regulation, insurance, contracts, transactional matters, and real estate is required. Must have License to practice law in Connecticut. Must be Member of state Bar association in good standing. Knowledge of the health care environment and requirements. Working knowledge of Medicaid, HRSA, FQHC, FTCA is required. Must have familiarity with licensing and accreditation, healthcare fraud and abuse, antitrust and governmental regulations.
