Corporate Attorney The candidate will partner with and support internal clients and business development initiatives to close deals and mitigate risk related to privacy and data security issues in connection with the firm’s procurement of products and services. Negotiate contracts and agreements for technology-related solutions and services for SaaS-based software licensing and statements of work, change orders, amendments and NDAs; drafting and negotiating vendor agreements, including offshoring, technology licensing, addressing issues related to HIPAA, and intellectual property. Communicate effectively about contractual and business matters, providing good risk/benefit analysis and guidance to company’s internal stakeholders including Sales, Finance, HR, Product Development, Compliance, Information Security, Information Technology and Operations. Negotiate key sales and vendor agreements. Review, draft and negotiate complex IT licensing agreements with company’s customers per company’s guidelines including: Master Service Agreements and Statements of Work. Proactively provide legal support/advice to stakeholders, regarding changes in the law, including HIPAA, FCRA, GLBA, data privacy laws, other legal issues that may involve the company’s short or long-term strategic operations. Keep abreast of current legislative and regulatory developments, particularly with such developments that may have an impact upon company and industry operations. Maintain complete confidentiality of company-related business. Keep the CAO informed of pertinent developments within areas of assigned responsibilities. Maintain contract management system. 5- 7 years of corporate law experience and license to practice law in the US or Foreign jurisdiction required. Healthcare company experience preferred. Direct experience in structuring, negotiating and drafting high tech and outsourcing service contracts required. Excellent communication and diplomatic skills to communicate with stakeholders internally and externally required. Negotiation skills, particularly at the executive level required. Strong knowledge base working with traditional software licensing and SaaS contracting required.
