ProfileGeneral Counsel Duties: Will provide general legal counsel. Apply for, track, update and maintain Medicare, Medicaid, CLIA and JCAHO certification files for changes of ownership and opening of new offices for owned and managed agencies. Research state HHA requirements, submit initial application and renew state licensure and any other requirements of applicable state agency. Responsible for application and renewal of business licenses for select agencies. Responsible for registration and renewal of trade names for select agencies. Obtain tax ID #s (EIN, Sales and Use tax, SUTA). Complete and return initial and renewal applications for various state taxes (business license; sales and use; personal/tangible property). Maintain/update corporate status with various state agencies (State Corporation Commission; Unemployment Commission; Dept. of Taxation/Revenue; Workers Compensation Commission). Determine and complete necessary regulatory steps for acquisition of new agencies (HHA; Infusion; HME; Hospice). Help determine compliance with state Certificates-of-Need. Aide in completion of Certificate-of-Need applications for expanding/consolidating agencies. Obtain and maintain Due Diligence requests and records for acquisitions and sales of agencies. Review and compile Exhibits/Schedules for Asset Purchase Agreements. Supply agencies with therapy/therapist contracts. Review supplier contracts for legal issues and draft amendments. Legal research (state regulations; insurance; licensure; duplication of services; state practice acts….). Review letters/agreements for fraud and abuse issues. Acts as liaison between individual HHAs and state agencies. Maintain relationship with owners, administrators and staff in order to facilitate problem solving in a variety of areas, and act as liaison between agencies and others at US CareNet. Serve on compliance committee-determine “business associates” and HIPAA compliance of contracts with said business associates. Review agency leases to determine term, assignability and compliance with fraud and abuse laws. Maintain files of agency regulatory documents. Maintain all corporate records and stock records. Updates and maintains current legal codes information in all states served. Member of HIPAA Committee and Ethics and Compliance Committee. Receive and Coordinate all productions of records.
Qualification and Experience
Qualifications: 4 year bachelor’s degree and law degree from ABA accredited law school. 5+ years legal experience preferred with 2 years of health care law. High level of knowledge in legal research and related issues. Ability to categorize assignments and perform tasks in a timely manner. Ability to travel as company/ business requires. Good communication skills and ability to communicate effectively with clients, their staff and government agents. Ability to adapt to changing assignment demands under strict time deadlines.
