Deputy General Counsel Duties: Assists the Senior Vice President and General Counsel, the VP/Chief Legal Officer of the Operating Unit, other Health Vice Presidents, members of Health/Operating Unit executive and management teams, and Operating Unit boards of directors by providing legal advice/counsel and oversight on a broad range of topics within multiple business lines. Responsible for legal advice and oversight of multiple programs or business lines and is accountable for directing the legal and project work of other attorneys, paralegals or consultants associated with these programs and assisting the VP/Chief Legal Officer of the Operating Unit to integrate all legal services within the OU and collaboration with all other OGC teams. Subject matter expertise in broad areas related to System and Operating Unit programs. Responsible for managing significant complexity, including managing legal content and implementation of systemwide initiatives, legal changes or legal projects. Serves as a strategic partner to System Vice Presidents, System Management, and Operating Unit Executives on legal issues arising in their program areas. May have responsibility for budget development and budget management. Responsible for proactively promulgating policies and otherwise advancing practices that reduce legal risk in his/her program areas and is likewise responsible for identifying other programs or functional areas that may be implicated as new legal strategies or practices are identified. Oversee attorneys, paralegals and consultants responsible for developing legal tools and will provide direction to the teams to assist them in providing efficient and effective services. Serve as a Service Team lead and is responsible the legal services provided by the Service Team, development of metrics and priorities for the Team and directing the program implementation of other business lines, and other projects and duties as assigned.
Qualification and Experience
Qualifications: JD Degree from an accredited law school. Member in good standing with a state Bar--California State Bar preferred. Ability to obtain California licensure with a reasonable timeframe. Experience as typically acquired during 10+ years as a practicing attorney of business and health care law, including primary and independent responsibility for significant business transactions, governance support, and health law legal analysis. Solid experience (typically obtained during 10+ years) of advising health care clients, including hospitals, medical foundations and/or physician organizations. Expertise in general corporate work, drafting and negotiating contracts, and structuring mergers and acquisitions. Exposure and general understanding of basic employment law issues. Excellent judgment and proven experience analyzing risks and making risk determinations. Substantive expertise in state and federal regulations as they pertain to hospitals, medical foundations and other health care organizations. In-house counsel experience is highly desired. Ability to operate in a complex and matrixed corporate environment. Extensive knowledge of health care laws including Stark, Anti-kickback, False Claims Act and familiarity with licensure, certification and accreditation requirements is essential. Extensive knowledge of nonprofit corporate governance laws. Good working knowledge of tax-exemption/nonprofit and antitrust laws is also required. Extensive knowledge of corporate transaction and contracting processes, including reviewing, drafting, revising, negotiating, and finalizing contracts and structural deal terms. Strong business acumen with healthcare experience.
