Director, Business and Legal Affairs (Tech Transactions) The candidate will provide legal support to company’s engineering, product management, operations, IT, marketing and sales groups from the initial stages of product development to launch. Draft and negotiate high-tech transactions, including manufacturing, supply, distribution and sale agreements, software and technology licenses, development agreements, and consulting and services agreements. Support procurement functions on a wide variety of commercial transactions related to IT, operations and marketing and sales. Independently lead and execute all phases of commercial engagements, from providing preliminary advice, performing due diligence, to structuring, drafting and negotiating contracts. Advise on the legal aspects of product development in the consumer electronics space. Act as a subject matter expert on intellectual property issues (e.g., copyright, trade secret, trademark and patent) in the context of commercial transactions. Communicate with executive management and manage outside counsel. Collaborate with cross functional teams to support company’s engineering, product management, operations, marketing and sales groups. Bachelor’s degree and a Juris Doctorate degree from a U.S. accredited law school and license to practice law in the State required. 10+ years of transactional legal experience with an emphasis on technology licensing (in both hardware and software) and related professional services, at both a law firm and in a corporate legal department required. Ability: to assess risk and determine priorities based on that risk assessment as well as the needs of the business; to identify, evaluate and provide risk-appropriate solutions to the business based on excellent legal judgment; to think clearly and succinctly and cogently articulate a negotiating position as well as draft contracts in clear, concise language required. Strong written and verbal communication skills with proven ability to work collaboratively with multiple stakeholders required. Effective organizational skills and the ability to manage multiple projects simultaneously and complete them on time required. Familiarity with data protection and privacy issues and concerns in the context of technology transactions preferred. Experience working in a cross-department, cross-functional role requiring good client relationship skills and prior experience working with high-growth or startup technology companies is strongly preferred.
